
A director is independent if they are not a member or an employee of the corporation and do not receive services or provide paid services to the corporation. Usually it is a person with particular expertise or specialist knowledge.
A common misconception is that an independent director must be non-Indigenous. That is not so. Many experienced Aboriginal and Torres Strait Islander people fulfil the role of independent director.
